Annual Maintenance Contract (AMC) – Terms & Conditions

These Terms & Conditions govern the provision of services under the Annual Maintenance Contract (AMC) offered by ADRA Property Services. By signing up for this contract, the client acknowledges and agrees to the following:


1. Contract Scope & Limitations

1.1. Service Coverage

  • The AMC covers only the services explicitly listed in the contract. Any additional work will be quoted separately and charged accordingly.
  • Emergency call-outs cover repairs only. Replacement of parts, components, or equipment will incur additional charges.
  • No structural, decorative, or major refurbishment works are included in the contract.

1.2. Service Frequency & Scheduling

  • Services will be conducted as per the agreed schedule (quarterly, biannual, or annual visits).
  • The client must provide safe and unrestricted access to the property on scheduled service days.
  • Missed appointments due to the client’s unavailability will not be rescheduled or refunded.

1.3. Exclusions

  • Any damages caused by misuse, negligence, natural disasters, third-party work, or lack of maintenance outside of scheduled AMC visits are not covered.
  • Repairs due to wear and tear, aging infrastructure, or pre-existing faults will be subject to additional charges.
  • The contract does not cover leaks behind walls, underground pipework, concealed wiring, or damages requiring major excavation or civil works.

2. Payment Terms

2.1. Subscription & Billing

  • Payments must be made monthly in advance via the designated payment method.
  • The contract is subject to a minimum term of three (3) months, after which the client may opt for cancellation.

2.2. Non-Payment & Suspension of Services

  • Failure to make payments on time will result in immediate suspension of services.
  • If payments remain outstanding for more than 30 days, the contract will be terminated, and re-enrollment will require a new sign-up at current pricing.

2.3. Price Adjustments

  • ADRA Property Services reserves the right to revise pricing at any time, with prior notice to the client. Continued use of services after a price adjustment constitutes acceptance of the new rates.

3. Emergency Call-Outs & Repairs

3.1. Response Time & Availability

  • Emergency support is provided on a best-effort basis, with no guarantee of immediate response.
  • Call-outs are for diagnosis and temporary fixes only. Permanent repairs and part replacements will be quoted separately.

3.2. Liability & Repair Conditions

  • ADRA Property Services is not liable for loss of business, consequential damages, or property damage resulting from system failures.
  • The company is not responsible for repairs caused by poor construction, incorrect installation by third parties, or manufacturer defects.

4. Termination & Refunds

4.1. Cancellation Policy

  • Clients may cancel after the initial 3-month term with 30 days’ written notice.
  • No refunds will be provided for unused service periods or missed appointments.

4.2. Termination by ADRA Property Services

  • ADRA Property Services reserves the right to terminate the contract without notice if:
    • The client fails to comply with payment obligations.
    • There is abuse or misuse of the service.
    • Unsafe working conditions are present on the property.

5. General Conditions

5.1. Liability Disclaimer

  • ADRA Property Services provides services on a best-effort basis and does not guarantee uninterrupted operation of any system.
  • The company is not responsible for damage, delays, or service failures caused by force majeure events, including but not limited to extreme weather, government restrictions, or supplier shortages.

5.2. Amendments

  • ADRA Property Services may update these Terms & Conditions at any time. Clients will be notified of significant changes, and continued use of the service implies acceptance.

5.3. Jurisdiction

  • These Terms & Conditions are governed by the laws of the United Arab Emirates, and any disputes shall be resolved in the Dubai Courts.

By subscribing to the AMC, the client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
